Terms of Service

The contract for using Passly: accounts, content, payments and responsibilities.

Effective October 1, 2026Version 1.0Translation — the Spanish version prevails

These Terms and Conditions of Use are the contract between you and [PENDIENTE: Razón social / nombre legal del titular] ("Passly") for using Passly. We wrote them to be understood. Nothing in them limits the rights the law gives you as a consumer that cannot be waived.

  • Your content and your guests' data remain yours. You only give us the minimum permission needed to host and display them.
  • You are responsible for having permission to use the photos, music and personal data you upload.
  • You can cancel your subscription and delete your account whenever you want, from the app.
  • If something goes wrong through our fault, we are liable as the law provides; we do not ask you to waive your rights.

1. Acceptance and capacity

By creating an account, checking the acceptance box or using Passly, you accept these Terms, the Privacy Notice, the Acceptable Use Policy and, if you purchase a plan, the Subscription and Billing Terms and the Refund and Cancellation Policy. If you act as the controller of guest data, you also accept the Data Processing Agreement.

You must be over 18 years of age and have the legal capacity to enter into contracts. If you use Passly on behalf of a company or organization, you represent that you have authority to bind it, and "you" also refers to it.

The contract is entered into by electronic means and your click acceptance is fully valid (Commercial Code (Código de Comercio), Arts. 89 et seq.). We record which version you accepted and when.

Guests who only open an invitation or RSVP do not need to accept these Terms; their information is governed by the Guest Notice.

2. Definitions

  • Service: the website, the application, the editor, invitations, RSVP, guest, table and access management, the gallery, the event app, the video studio, the AI features and any other Passly feature.
  • Host or user: the person who has an account and creates or manages events.
  • Guest: the person who receives an invitation or takes part in an event, whether or not they have an account.
  • Your content: texts, photos, videos, audio, logos, fonts, designs, lists and data that you or your team upload or create in Passly.
  • Workspace: the shared account where your events, your brand and your team live.

3. The service

Passly lets you design, publish and manage digital invitations and your event's logistics. You can use the editor and create drafts for free; publishing an invitation and some features require a paid plan, as shown in Pricing before you buy.

Some features may be labeled "beta" or experimental. We will tell you so, and they may change or be withdrawn.

4. Your account and your team

  • Provide truthful information and keep it up to date.
  • Protect your password. You are responsible for what happens in your account unless it is due to a security failure on our part. Let us know immediately if you suspect unauthorized access.
  • You can invite members to your workspace and assign them a role. You are responsible for whom you give access to and for removing it when it is no longer appropriate.
  • Door staff you authorize with a PIN will see the data needed for entry. Share the PIN only with those who need it.
  • You may not sell, assign or share your account.

5. Plans, payments and cancellation

Prices are shown in Mexican pesos (MXN) including VAT (IVA). Payments are processed by Stripe; Passly does not store your card details. Before paying you will see what you are buying, how much it costs, whether it renews, when, and how to cancel.

Subscriptions renew automatically every month until you cancel them. You can cancel at any time from Organization → Billing (Organización → Facturación), without penalty; you keep access until the end of the paid period. We will notify you at least 7 days before each renewal.

The full rules are in the Subscription and Billing Terms and the Refund and Cancellation Policy, which form part of this contract.

6. Your content: it is yours

You retain all rights to your content. Passly does not take ownership of it.

So that we can provide the service to you, you grant us a limited license that is non-exclusive, royalty-free, worldwide and revocable, to host, store, reproduce, technically adapt (for example, resize, compress, convert formats or generate thumbnails), display and transmit your content solely to operate and show you the service and to show it to the people you share it with (your guests, your team, the audience of an open invitation).

That license ends when you delete the content or your account, except for: (a) technical copies that disappear according to the Retention Policy; (b) what the law requires us to keep; and (c) content that other users have uploaded to your gallery, which belongs to them.

We do not use your content for advertising or display it as an example without your express and separate permission. We do not train AI models on your content or on your guests' data.

7. Your guests' data and other people's data

When you upload other people's data (guest list, phone numbers, emails, tables, photos, companions' names, notes), you decide what it is used for and you are legally responsible for it as controller. Passly acts as your processor and processes it only to provide the service to you, under the Data Processing Agreement, which forms part of these Terms.

By uploading it, you represent and warrant that:

  1. You obtained it lawfully and may use it to organize your event (for example, because the people themselves or their families gave it to you).
  2. For sensitive data —such as dietary restrictions, health conditions or accessibility needs— you have the person's express consent.
  3. For data or photos of minors, you have the consent of the person who holds parental authority or guardianship.
  4. You will use the data only for your event, not for advertising, you will not sell it, and you will not send unsolicited bulk messages (spam), including via WhatsApp.
  5. You will handle your guests' requests about their data (Passly will notify you when they arrive and give you tools to resolve them with one click).
  6. You will not upload data you do not need, such as official identification numbers, financial data or medical records.

If you act in a purely personal or household capacity (for example, you are organizing your own wedding), data protection law may not impose controller obligations on you; even so, Passly will protect that data as if it did.

8. What belongs to Passly

Passly, its software, code, design engine, editor, interface, brand, logos, templates, illustrations, animations, design systems, documentation and other proprietary elements are protected by intellectual and industrial property laws and belong to Passly or its licensors.

We give you a personal, non-exclusive and non-transferable right to use the service and to incorporate our templates, illustrations and design elements into the invitations and materials for your events created with Passly. You may not extract them to resell them or use them outside Passly, nor copy, decompile or reverse engineer the software, nor extract data by automated means (scraping), except as expressly permitted by law.

If you send us suggestions, we may use them freely with no obligation to compensate you.

More details in the Intellectual Property Policy.

9. Music, photos, fonts and other third-party resources

You are responsible for holding the rights or licenses to everything you upload or link: photographs taken by a professional photographer, songs, videos, logos, commercial fonts, illustrations and third-party texts.

Background music linked from YouTube plays from YouTube and is subject to its terms; Passly does not grant you any rights to that music.

Some templates include photographs from free-license image banks (such as Unsplash) or open-license fonts (such as Google Fonts). You may use them within your invitations in accordance with their licenses.

10. Acceptable use

You must use Passly lawfully and respectfully. Among other things, it is prohibited to publish content that is illegal, infringes third-party rights, is hateful, violent, sexual involving minors or without consent, fraudulent or misleading; to impersonate other people; to send spam; to breach security; or to use Passly for events with unlawful purposes. The full list is in the Acceptable Use Policy.

11. Artificial intelligence features

  • You may use what the AI generates for your events. To the extent the law recognizes rights in that output, they belong to you; bear in mind that similar outputs may be generated for other people.
  • AI can make mistakes. Review names, dates, addresses and texts before publishing. You are responsible for what you publish.
  • Do not use the AI to create misleading content about real people, impersonations (deepfakes) or content prohibited by the Acceptable Use Policy.
  • AI credits are consumed when you use the features, at the rate shown in the app.
  • What data is sent to each AI provider and with what safeguards is explained in Use of artificial intelligence.

12. Content reports, removal and appeal

Anyone can report illegal or infringing content to us using the form in the Intellectual Property Policy or at [PENDIENTE: Correo legal (p. ej. legal@wepassly.com)]. We will review each notice diligently.

We may remove or disable content, or restrict an account, when it is illegal, breaches these Terms or an authority orders it. Unless the law or a serious risk prevents it, we will explain what we removed, why and how to appeal. You can appeal in the Privacy Center or at [PENDIENTE: Correo legal (p. ej. legal@wepassly.com)]; a person will review your case.

We will terminate the accounts of repeat copyright infringers.

13. Availability and copies of your information

We work to keep Passly available at all times, especially on the day of your event, but the service may be interrupted by maintenance, provider or internet failures, or causes beyond our control. We do not guarantee uninterrupted availability unless we agree to it in writing.

We recommend downloading a copy of your information before the event as a backup (Settings → Privacy and data → "Download my data" (Ajustes → Privacidad y datos → «Descargar mis datos»), included free of charge in all accounts).

14. Changes to the service

We may improve, change or withdraw features. If a change significantly reduces what you have already paid for, we will notify you with reasonable advance notice and you may cancel and receive a pro rata refund of the unused portion.

15. Suspension and termination

You may terminate whenever you want: cancel your subscription and delete your account in Settings → Privacy and data. When you delete it you will have 14 days to change your mind; after that we delete your data according to the Retention Policy.

We may suspend or terminate your account if you seriously breach these Terms, if the law or an authority requires it, or if your use puts other people or the service at risk. Except in urgent cases or where legally prohibited, we will notify you in advance with the reasons and give you the opportunity to cure and to download your information. If we terminate without cause attributable to you, we will refund the unused portion of what you paid.

16. Warranties

We provide the service with professional diligence. Beyond what the law requires and what we expressly promise in these Terms, the service is provided "as is". This clause does not affect the statutory warranties you are entitled to as a consumer in your country.

17. Liability

To the extent permitted by applicable law:

  1. Passly is not liable for indirect or consequential damages (for example, lost profits) arising from the use of the service.
  2. Passly's total liability for any claim related to the service is limited to the amount you paid us in the 12 months before the event giving rise to it.
  3. Passly is not liable for content published by users or for hosts' decisions about their events.

These limitations do not apply to damages caused by willful misconduct or gross negligence, to death or personal injury, to breaches of data protection law attributable to Passly, or to any liability that the law does not allow to be limited, including consumers' non-waivable rights (Federal Consumer Protection Law (Ley Federal de Protección al Consumidor) and equivalent rules in your country).

18. Third-party claims

If you use Passly as a business or professional, you agree to defend and indemnify Passly against third-party claims arising from your content, from data you uploaded without a legal basis or from your breach of these Terms, provided that we notify you promptly and allow you to control the defense.

If you are a consumer, you are liable to Passly under the general rules of applicable law.

19. Third-party services

Passly integrates with third-party services (Stripe for payments, Google Maps and YouTube in invitations, WhatsApp for sharing links). Their use is also governed by those third parties' terms, and we are not responsible for how they operate.

20. Governing law, complaints and courts

These Terms are governed by [PENDIENTE: Ley aplicable (p. ej. leyes federales de los Estados Unidos Mexicanos)], and any dispute will be submitted to [PENDIENTE: Tribunales competentes (p. ej. tribunales de la Ciudad de México)], without prejudice to your right, if you are a consumer, to go to the courts and consumer protection authorities of your country of residence and to the application of that country's mandatory rules.

In Mexico you can file complaints with the Federal Consumer Protection Agency (Profeco). In the EU you can turn to the alternative dispute resolution bodies of your country.

Before any claim, write to us at hola@wepassly.com: almost everything gets resolved that way.

21. Changes to these Terms

If we make a material change (for example, to prices, rights or obligations), we will notify you within the app at least 30 days in advance, unless the change is required by law or by an authority, and we will ask you to accept it to keep using the paid features. If you do not agree, you can cancel without penalty before it takes effect. Informative changes (wording, corrections) are published with a notice. The version history is at the bottom of this page.

22. General provisions

  • If any clause is invalid, the rest remains in force.
  • Failure to exercise a right does not mean waiving it.
  • We may assign this contract to a successor company by notifying you; you may not assign it without our permission.
  • Neither party is liable for failures to perform caused by force majeure.
  • These Terms are published in Spanish and in English; in the event of any discrepancy, the Spanish version prevails.
  • Communications with you will be made within the app or to your account email.
